Terms of Service

Important Notice
These Terms of Service constitute a legally binding agreement between you and Technspire AB. By accessing or using our services, you agree to be bound by these terms. If you are a consumer in the EU or UK, you have additional rights under applicable consumer protection laws.

1. Definitions
"Technspire," "we," "us," or "our" refers to Technspire AB, a Swedish limited liability company (aktiebolag) with registered office at Markörvägen 1a, Stockholm, Sweden.
"Client," "Customer," "you," or "your" refers to the individual or legal entity entering into this agreement.
"Services" means all professional services provided by Technspire, including but not limited to AI training courses, consulting services, Microsoft 365 implementation, Azure cloud solutions, and custom software development.
"Consumer" means an individual acting for purposes outside their trade, business, craft, or profession (as defined by EU Consumer Rights Directive 2011/83/EU and UK Consumer Rights Act 2015).
"Business Client" means a legal entity or individual acting in their commercial, business, or professional capacity.
"Agreement" means these Terms of Service together with any Statement of Work, Order Form, or other written agreement between the parties.
2. Scope of Services
Technspire provides the following services:
- Professional Training: AI and Azure training courses (2-3 days, 25,000 SEK per participant)
- Consulting Services: Microsoft 365 & SharePoint implementation, Azure cloud architecture, AI strategy
- Custom Development: .NET applications, mobile apps, custom integrations
- Managed Services: Continuous support, maintenance, and monitoring
Specific deliverables, timelines, and pricing will be detailed in a Statement of Work (SOW) or Order Form signed by both parties.
3. Formation of Contract
3.1 Business Clients
A binding contract is formed when:
- Client submits a written request (email, contact form, or signed SOW)
- Technspire provides a written quotation or proposal
- Client accepts the quotation in writing or signs the SOW
- Technspire sends written confirmation of acceptance
3.2 Consumers (EU/UK Distance Contracts)
For distance contracts (online bookings), in accordance with EU Consumer Rights Directive 2011/83/EU and UK Consumer Rights Act 2015:
- Client receives pre-contractual information (price, service description, cancellation rights)
- Client places an order via our website or email
- Technspire sends order confirmation within 24 hours
- Contract is concluded upon Technspire's confirmation
Consumer Right of Withdrawal: Consumers have 14 days from the date of contract conclusion to withdraw without giving any reason (see Section 8).
4. Pricing and Payment
4.1 Pricing
- All prices are in Swedish Krona (SEK) unless otherwise specified
- Prices exclude VAT (moms) at the applicable Swedish rate (currently 25% unless exempt)
- Training courses: 25,000 SEK per participant (group discounts available)
- Consulting services: Priced per project or hourly rate as specified in SOW
4.2 Payment Terms
- Training Courses: Full payment due 7 days before course start date
- Consulting Projects: 30% deposit upon SOW signing, 40% at midpoint milestone, 30% upon completion
- Managed Services: Monthly invoicing in advance
- Payment due within 30 days of invoice date (net 30)
- Late payments subject to Swedish Interest Act (Räntelagen 1975:635) penalty interest
4.3 Consumer Price Transparency (EU/UK)
For consumers, the total price including all taxes and additional charges is clearly displayed before purchase. No hidden fees.
5. Training Courses Terms
5.1 Registration and Cancellation
- By Client (Business): Cancellations more than 14 days before: full refund. 7-14 days: 50% refund. Less than 7 days: no refund (may reschedule once)
- By Client (Consumer): 14-day withdrawal right applies (see Section 8.2). After withdrawal period, business cancellation terms apply.
- By Technspire: If we cancel, full refund or free rescheduling
5.2 Course Delivery
- Courses delivered on-site or remotely as specified
- Minimum 3 participants required (or client pays for 3 seats)
- Includes course materials, certificate, 30-day post-training support
- Azure lab access provided during course (expires 7 days post-course)
5.3 Prerequisites
Client responsible for ensuring participants meet course prerequisites. Technspire not liable if participants lack required knowledge.
6. Consulting Services Terms
6.1 Deliverables and Acceptance
- Deliverables defined in Statement of Work (SOW)
- Client has 10 business days to review and accept/reject deliverables
- Rejection must be in writing with specific reasons
- Deemed accepted if no response within 10 days
6.2 Client Responsibilities
- Provide timely access to systems, data, personnel
- Assign dedicated project contact
- Review and approve deliverables within specified timeframes
- Delays caused by client may result in timeline/cost adjustments
6.3 Change Requests
Changes to SOW scope require written change request. Technspire will provide impact assessment (time, cost). Requires mutual written approval.
7. Intellectual Property
7.1 Pre-Existing IP
Each party retains ownership of its pre-existing intellectual property. Technspire's frameworks, methodologies, templates remain our property.
7.2 Custom Deliverables
For custom development projects:
- Client owns custom code/deliverables created specifically for client upon full payment
- Technspire retains right to reuse general knowledge, techniques, and non-proprietary components
- Third-party software subject to separate licenses
7.3 Training Materials
Course materials provided for participant's personal/internal use only. No redistribution, resale, or public sharing without written permission.
8. Consumer Rights (EU/UK)
8.1 Right to Pre-Contractual Information
Before concluding a contract, consumers receive:
- Main characteristics of the service
- Total price including taxes
- Duration of contract
- Cancellation and withdrawal rights
- Contact information
8.2 Right of Withdrawal (14 Days)
For EU/UK Consumers: You have the right to withdraw from this contract within 14 days without giving any reason.
- Withdrawal period: 14 days from date of contract conclusion
- How to exercise: Send clear written statement to admin@technspire.com
- Effect: Full refund within 14 days of receiving withdrawal notice
8.3 Exception: Services Performed Before Withdrawal Period Ends
If you request services to begin during the 14-day withdrawal period (e.g., training course starts within 14 days):
- You must expressly consent to early performance
- You acknowledge loss of withdrawal right once service fully performed
- If partially performed, you pay proportionate amount for services received
8.4 Unfair Terms Protection
Under EU Directive 93/13/EEC and UK Consumer Rights Act 2015, any unfair contract terms are not binding on consumers. These terms are drafted to be fair and transparent.
8.5 Digital Content (Training Materials)
Digital training materials must be:
- As described and fit for purpose
- Of satisfactory quality
- Free from defects
If not, you're entitled to repair, replacement, price reduction, or refund as applicable.
9. Warranties and Disclaimers
9.1 Service Warranty
Technspire warrants that services will be performed:
- With reasonable skill and care
- In accordance with industry standards
- By qualified personnel
- In compliance with applicable laws
9.2 No Warranty for Results
While we strive for excellence, we cannot guarantee specific business outcomes, ROI, or performance improvements. Results depend on client implementation and external factors.
9.3 Third-Party Services
Azure, Microsoft 365, and other third-party platforms subject to their own terms and SLAs. Technspire not liable for third-party service interruptions.
9.4 Consumer Statutory Rights
Nothing in these terms excludes or limits consumer statutory rights under Swedish Consumer Services Act (Konsumenttjänstlagen 1985:716), EU law, or UK Consumer Rights Act 2015.
10. Limitation of Liability
10.1 Business Clients
To the maximum extent permitted by Swedish law:
- Cap: Total liability limited to fees paid in the 12 months preceding the claim (minimum 100,000 SEK)
- Excluded: No liability for indirect, consequential, or special damages (lost profits, data loss, business interruption)
- Exceptions: No limitation for death/personal injury, fraud, or gross negligence
10.2 Consumers
Limitation of liability does not apply to consumers. Consumers retain full rights to compensation under Swedish Consumer Services Act and EU/UK consumer protection laws. We remain liable for negligence, breach of contract, and statutory obligations.
10.3 Force Majeure
Neither party liable for delays/failures due to events beyond reasonable control (natural disasters, war, pandemics, government actions, Azure/cloud provider outages).
11. Data Protection
Processing of personal data governed by our Privacy Policy, which complies with:
- EU General Data Protection Regulation (GDPR) 2016/679
- UK GDPR
- Swedish Data Protection Act (Dataskyddslag 2018:218)
For consulting projects involving client data, we execute a Data Processing Agreement (DPA) as required by GDPR Article 28.
12. Termination
12.1 Project-Based Services
Either party may terminate for material breach with 30 days written notice if breach not cured within notice period.
12.2 Ongoing Services (Managed Services)
- Business Clients: Either party may terminate with 90 days written notice
- Consumers: May terminate at any time with 30 days notice. No early termination fees for consumers.
12.3 Effect of Termination
- Client pays for work performed up to termination date
- Technspire delivers work-in-progress in its current state
- Confidentiality and IP provisions survive termination
13. Dispute Resolution
13.1 Negotiation
Parties agree to attempt good faith negotiation for 30 days before formal proceedings.
13.2 Business Clients
Unresolved disputes submitted to arbitration under Arbitration Institute of the Stockholm Chamber of Commerce (SCC) rules. Seat: Stockholm. Language: English or Swedish.
13.3 Consumers
Consumers may choose:
- Swedish Courts: District Court (tingsrätt) in Stockholm or your home jurisdiction
- Alternative Dispute Resolution:
- Swedish National Board for Consumer Disputes (Allmänna reklamationsnämnden - ARN)
- EU Online Dispute Resolution Platform: ec.europa.eu/consumers/odr
- UK: Consumer ADR schemes approved by Chartered Trading Standards Institute
Consumer Note: These dispute resolution terms do not affect your statutory rights to bring proceedings in your local courts.
14. Governing Law
14.1 Business Clients
These terms governed by Swedish law (excluding conflict of law provisions).
14.2 Consumers
While Swedish law applies, consumers benefit from mandatory consumer protection provisions in their country of residence if more favorable.
- EU Consumers: Protected by EU Consumer Rights Directive, Unfair Contract Terms Directive, and national implementing laws
- UK Consumers: Protected by UK Consumer Rights Act 2015, Consumer Contracts Regulations 2013
15. General Provisions
15.1 Entire Agreement
These Terms, together with SOW and Order Form, constitute entire agreement (except fraud).
15.2 Amendments
- Business Clients: Amendments must be in writing, signed by both parties
- Consumers: Material amendments require 30 days advance notice. Consumers may terminate if they don't accept changes.
15.3 Severability
If any provision is invalid, remainder continues in force. Invalid provision replaced with valid provision closest in intent.
15.4 Assignment
Technspire may assign to affiliates or in case of merger/acquisition. Client may not assign without written consent (except consumers may assign to household members).
15.5 Notices
All notices must be in writing to addresses in Section 15. Email acceptable. Deemed received 24 hours after sending.
